Terms of Service

Welcome to Vetigen. These Terms of Service ('Terms') govern your access to and use of the Vetigen veterinary operating system, including our Core App, PetConnect mobile app, API services, and all related features, applications, and services (collectively, the 'Service').

The Service is provided by Vetigen, Inc. ('Vetigen', 'we', 'us', or 'our'), a technology company incorporated in Delaware, USA. By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service constitutes acceptance of any modifications to these Terms.

In these Terms, the following definitions apply:

• Service: The Vetigen veterinary operating system, including all software, features, applications, APIs, and related services
• User: Any individual or entity that accesses or uses the Service, including veterinarians, clinic staff, administrators, and pet owners
• Clinic: A veterinary clinic, hospital, or practice that subscribes to and uses the Vetigen Service
• Pet Owner: An individual who uses the PetConnect mobile app to manage their pet's health information
• Account: A registered user account providing access to the Service
• Customer Data: All data, information, and content uploaded, submitted, or generated through the Service

By creating an account or using the Service, you represent and warrant that you meet all eligibility requirements outlined in these Terms.

You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To use the Service, you must:

• Be at least 18 years of age
• Have the legal authority to agree to these Terms
• Comply with all applicable laws and regulations
• Provide accurate and complete registration information

Registration Requirements

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful and legally compliant information
• Maintain accurate and up-to-date account information
• Maintain the confidentiality of your account credentials
• Promptly update any changes to your account information

Verification

We reserve the right to verify your identity and credentials, particularly for veterinary professionals. We may request additional documentation to confirm your professional status and licensing.

Account Responsibility

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breaches. We are not liable for any losses arising from unauthorized use of your account.

The Vetigen Service provides a comprehensive cloud-based veterinary operating system that includes:

• Medical Records (SOAP): AI-powered electronic health records with SOAP documentation, medical history, diagnostics, and treatment plans
• Appointments & Scheduling: Calendar management, appointment booking, automated reminders, and patient flow management
• Billing & Sales: Invoice generation, payment processing, accounting integration, and financial reporting
• Inventory Management: Stock tracking, supplier management, expiration monitoring, and automated reordering
• Client Communication: SMS, email, and push notifications for appointment reminders, follow-ups, and marketing
• AI Features: AI-assisted SOAP records, voice dictation, diagnostic suggestions, drug interaction checking, and predictive analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Subscription Plans

The Service is offered on a subscription basis with various pricing tiers. Each plan includes specific features, user limits, and data storage as outlined on our pricing page.

Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable except as required by law or specified in our Refund Policy.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Renewal charges will be applied to your payment method on file.

Price Changes

We reserve the right to modify our pricing with at least 30 days' notice. Price changes will apply to subsequent billing cycles after notification.

You agree not to use the Service for any unlawful or prohibited purposes. Specifically, you must not:

• Violate any applicable laws, regulations, or professional standards
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited communications (spam)
• Impersonate any person or entity or falsely represent your affiliation

You retain all ownership rights to your Customer Data. By using the Service, you grant us a limited license to host, store, process, and display your Customer Data solely to provide the Service.

We implement appropriate technical and organizational measures to protect your Customer Data. However, you are responsible for maintaining appropriate backups and security measures for your data.

Upon termination of your account, we will retain your Customer Data for a limited period as outlined in our Privacy Policy, after which it will be permanently deleted unless legally required to retain it.

The Service, including all software, designs, trademarks, logos, and content, is the exclusive property of Vetigen and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information and Customer Data.

We implement industry-standard security measures to protect the Service and your data. However, no system is completely secure, and we cannot guarantee absolute security.

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Continuous, uninterrupted, or error-free operation of the Service
• That all errors or defects will be corrected
• That the Service is completely secure or free from viruses or harmful components
• The accuracy or reliability of third-party integrations or services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETIGEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Vetigen and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any rights of third parties.

Termination by User

You may terminate your account at any time by following the cancellation process in your account settings. Termination will be effective at the end of your current billing period.

Termination by Vetigen

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.

Effects of Termination

Upon termination, your right to access and use the Service will immediately cease. We will retain your Customer Data for a limited period as outlined in our data retention policy, after which it will be permanently deleted.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they become effective.

Your continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes. If you do not agree to the modifications, you must discontinue use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

Before initiating any legal proceedings, you agree to first attempt to resolve any disputes through good-faith negotiations with us.

If a dispute cannot be resolved through negotiation within 30 days, either party may initiate arbitration or litigation as permitted by applicable law.
