These Terms of Use govern the website and services of US-based Vetigen Incorporation.

These terms set out rights and obligations for use of Vetigen services. Contact: hello@vetigen.com.

Read the terms before using the service. If you do not agree to the service agreement presented to you, do not use the relevant service.

In these Terms, the following definitions apply:

• Service: The Vetigen veterinary operating system, including all software, features, applications, APIs, and related services
• User: Any individual or entity that accesses or uses the Service, including veterinarians, clinic staff, administrators, and pet owners
• Clinic: A veterinary clinic, hospital, or practice that subscribes to and uses the Vetigen Service
• Pet Owner: An individual who uses the PetConnect mobile app to manage their pet's health information
• Account: A registered user account providing access to the Service
• Customer Data: All data, information, and content uploaded, submitted, or generated through the Service

Acceptance of a service agreement is assessed under the terms presented in the relevant registration or contracting process. Merely visiting the website does not authorize cookies, marketing or other processing requiring consent.

Services are offered to users aged 18 or over and authorized clinic staff.

When using the service, you must meet the following requirements:

• Be at least 18 years of age
• Have the legal authority to agree to these Terms
• Comply with all applicable laws and regulations
• Provide accurate and complete registration information

Registration Requirements

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful and legally compliant information
• Maintain accurate and up-to-date account information
• Maintain the confidentiality of your account credentials
• Promptly update any changes to your account information

Verification

We reserve the right to verify your identity and credentials, particularly for veterinary professionals. We may request additional documentation to confirm your professional status and licensing.

Account Responsibility

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breaches. We are not liable for any losses arising from unauthorized use of your account.

The Vetigen Service provides a comprehensive cloud-based veterinary operating system that includes:

• Medical Records (SOAP): AI-powered electronic health records with SOAP documentation, medical history, diagnostics, and treatment plans
• Appointments & Scheduling: Calendar management, appointment booking, automated reminders, and patient flow management
• Billing & Sales: Invoice generation, payment processing, accounting integration, and financial reporting
• Inventory Management: Stock tracking, supplier management, expiration monitoring, and automated reordering
• Client Communication: SMS, email, and push notifications for appointment reminders, follow-ups, and marketing
• AI Features: AI-assisted SOAP records, voice dictation, diagnostic suggestions, drug interaction checking, and predictive analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Subscription Plans

The Service is offered on a subscription basis with various pricing tiers. Each plan includes specific features, user limits, and data storage as outlined on our pricing page.

Payment Terms

Subscription fees are billed in advance on a monthly basis. You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable except as required by law or specified in our Refund Policy.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Renewal charges will be applied to your payment method on file.

Price Changes

We reserve the right to modify our pricing with at least 30 days' notice. Price changes will apply to subsequent billing cycles after notification.

You agree not to use the Service for any unlawful or prohibited purposes. Specifically, you must not:

• Violate any applicable laws, regulations, or professional standards
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited communications (spam)
• Impersonate any person or entity or falsely represent your affiliation

Your existing rights in content you provide remain yours. Personal data and record rights of owners, clinics and other rightsholders also apply; uploading records does not grant unrestricted ownership or deletion rights over all data.

You permit processing to the extent necessary to provide the service and perform agreed operations. Processing terms are described in the DPA and Privacy Notice; this clause does not authorize general-purpose AI training.

Personal account deletion, clinic records and subscription cancellation follow separate processes. Deletion scope, the 30-day account recovery period and retained records are explained in the Account Deletion Policy.

The Service, including all software, designs, trademarks, logos, and content, is the exclusive property of Vetigen and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information and Customer Data.

Authentication, authorization and data access controls are used. Details are explained in the Security Policy.

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Continuous, uninterrupted, or error-free operation of the Service
• That all errors or defects will be corrected
• That the Service is completely secure or free from viruses or harmful components
• The accuracy or reliability of third-party integrations or services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETIGEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Vetigen and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any rights of third parties.

Termination by User

Manage your subscription and account through the relevant cancellation or account deletion process. These actions have different effects on access and data.

Termination by Vetigen

If these terms are breached, we may suspend or close your account under applicable law and the agreement.

Effects of Termination

An account deletion request disables access. Subscription termination, data export and clinic data requests follow their respective processes; termination does not always provide an additional access period.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they become effective.

Your continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes. If you do not agree to the modifications, you must discontinue use of the Service.

Where a separate agreement between the parties contains a governing-law choice, that choice applies subject to mandatory law. Otherwise, the applicable law is determined by the relevant conflict-of-laws rules.

Competent authorities and courts are determined by any valid jurisdiction agreement and mandatory jurisdiction rules. These terms do not remove applicable consumer or data protection rights.

Before initiating any legal proceedings, you agree to first attempt to resolve any disputes through good-faith negotiations with us.
